Distance Sales Agreement
This agreement governs the online sale of an Eagvio software subscription. It does not cover the products you sell to your own customers; those sales form a separate contract between your business and the end customer.
Parties
Service provider (seller): Eagvio. Contact: [email protected]. The seller's registered trade name, address and tax details appear on the invoice issued for the subscription.
Buyer: the person or business that opens an Eagvio account and purchases a subscription. The buyer's name, trade name, address, email and phone are the details provided to Eagvio at sign-up.
Where the buyer does not qualify as a consumer under Turkish Consumer Protection Law no. 6502, the consumer-specific provisions of this agreement apply only to the extent relevant.
Subject of the agreement
This agreement sets out the rights and obligations of the parties regarding the software subscription ordered electronically by the buyer through the Eagvio website, and its performance.
The agreement is governed by Turkish Consumer Protection Law no. 6502 and the Regulation on Distance Contracts.
Before confirming the order, the buyer confirms having read this agreement and the pre-contractual information, and having learned the essential features of the service, the total price, and the payment and performance terms.
Nature of the service
Eagvio is a software service that adds an AI-powered sales assistant to your business WhatsApp number. It answers customer questions, records orders, manages your catalog and generates payment links.
The service includes no physical goods; it is a digital service accessed over the internet. There is no shipping or physical delivery.
The scope of the selected plan, its monthly price and any usage limits are shown in the plan details and pricing section on the site at the time of ordering.
Price and payment
The subscription price is the amount displayed on the site and approved by the buyer at the time of ordering. Unless stated otherwise, prices include value added tax.
The subscription is billed monthly in advance and renews on the same terms at the end of each period unless cancelled.
Payment is made through the payment methods offered on the site. Eagvio does not store card details; payment is collected through the infrastructure of a licensed payment institution.
If prices change, the buyer is informed before the change takes effect and may choose to let the subscription end without renewal.
Performance of the service
The service is made available through the buyer's account immediately after payment is confirmed. As a digital service, performance begins when account access is opened.
Setting up the account, completing the WhatsApp connection and entering catalog information are required for the service to be usable. These steps are under the buyer's control.
In cases beyond Eagvio's control, such as force majeure or outages at third-party services (WhatsApp / Meta, payment institutions, hosting providers), performance may be temporarily disrupted. The buyer is informed if this happens.
Right of withdrawal
If the buyer qualifies as a consumer, the buyer may withdraw from the agreement within fourteen days of its conclusion, without giving a reason and without paying a penalty.
A withdrawal notice can be sent in writing to [email protected] within that period. Sending the notice within the period is sufficient.
Following a valid withdrawal, the amount collected is refunded through the buyer's original payment method within fourteen days of the notice reaching us. No cost is charged to the buyer for the refund.
Exceptions to the right of withdrawal
Under article 15 of the Regulation on Distance Contracts, the right of withdrawal does not apply to services performed instantly in an electronic environment, or to services whose performance begins with the buyer's consent before the withdrawal period expires.
Because Eagvio is performed instantly when the account is opened, by confirming the order the buyer requests immediate performance and acknowledges losing the right of withdrawal as a result.

Defective service
If the service does not have the qualities agreed in this contract, the buyer may exercise the remedies available under law no. 6502.
Defect claims are reported to [email protected]. We review the issue on notice; if it can be fixed, we fix it within a reasonable time, otherwise a price reduction or termination is considered.
Disruptions arising from the buyer's own systems, from incorrect or incomplete product and price information entered by the buyer, or from policy changes at third-party services are not treated as defects.
Important note on payment flow
Eagvio never intermediates the payments the buyer collects from its own customers and never touches that money. End-customer payments go directly to the buyer's own payment account.
Accordingly, the buyer is the seller towards the end customer. The distance sales contract with the end customer, product delivery, invoicing, the right of withdrawal and returns are the buyer's responsibility.
Eagvio's role as seller under this agreement is limited to the software subscription sold to the buyer.
Personal data
Personal data processed in connection with the conclusion and performance of this agreement is handled in line with Turkish Personal Data Protection Law no. 6698 (KVKK).

Term and termination
The agreement remains in force for as long as the subscription continues and renews automatically at the end of each billing period.
The buyer may end the subscription at any time. Termination takes effect at the end of the current billing period; the service stays active until then.
In the event of a material breach of the Terms of Service, Eagvio may suspend the service or terminate the agreement after notifying the buyer.
Dispute resolution
For disputes arising from this agreement, the buyer is welcome to contact Eagvio first so we can try to resolve the issue directly.
If the buyer qualifies as a consumer, the buyer may apply to the Consumer Arbitration Committee at their place of residence or where the transaction took place, or to the Consumer Court, within the monetary thresholds announced each year by the Ministry of Trade.
Where the buyer is not a consumer, disputes are governed by the laws of the Republic of Türkiye and the courts and enforcement offices of Istanbul have jurisdiction.
Entry into force
By confirming the order electronically, the buyer declares having read, understood and accepted all terms of this agreement.
The agreement is concluded and enters into force at the moment the order is confirmed. A copy is sent to the buyer's email address.
